The subject of the order covers the supply (without installation and commissioning) of components of the electrical energy storage system type BESS with useful power and useful capacity in accordance with Annex 1a to the OPZ ("BESS Projects List") and Annex 1b ("Table of Interface Points and Responsibilities Supplier MEE / BESS / EPC / Orderer"). The Contractor will supply the complete, factory-new devices, ready for efficient installation and commissioning by the Orderer or a separate Contractor, and will participate in the commissioning of the supplied BESS system - in accordance with the OPZ. The contract will be in force for a period of 36 months from its conclusion, with the Contractor's obligation to comply with the Order Schedule (Annex 1d). With regard to ENEA Ciepło sp. z o.o., the procedure covers one project, for which delivery is planned at the location Białystok (woj. podlaskie). List of counties in which the key projects planned for implementation are located: • woj. lubuskie: pow. gorzowski, słubicki, międzyrzecki, • woj. wielkopolskie: pow. wągrowiecki, nowotomyski, czarnkowsko-trzcianecki, szamotulski; • woj. zachodniopomorskie: pow. stargardzki, wałecki; • m. Białystok (for ENEA Ciepło sp. z o.o.). Due to the dynamics of the investment process, the Orderer reserves the right to change individual locations, especially in the case of replacing a given project with another. Any new locations are envisaged within the above-mentioned provinces. 1. The Orderer plans to implement the delivery of BESS systems with a total target capacity of 840 MWh of useful capacity, in various power/capacity configurations, in accordance with Annex 1a to the OPZ. 2. The Orderer guarantees the placement of orders and purchase together for at least 600 MWh of useful capacity within 24 months from the date of conclusion of the contract in configurations resulting from the needs of the Orderer and Annex 1a to the OPZ. 3. The Orderer envisages the possibility of exercising the right of option in accordance with art. 441 of the Civil Code, increasing the scope of the order by 240 MWh to the planned level of 840 MWh. The detailed manner of exercising the right of option is described in the order documentation. 4. The Orderer allows the possibility of granting the Contractor advances on account of the performance of the subject of the order, in accordance with art. 442 para. 1 of the Civil Code. The total value of the advances will not exceed 100% of the gross contractual remuneration. The detailed manner of granting advances is described in the order documentation.
