PUBLIC ENTITY - GENERAL INFORMATION

4. DESCRIPTION OF THE PROJECT

The subject of the project will cover its joint implementation, consisting of the design, construction and operation of multi-level car parks in the city centre of Łódź at the locations indicated in the PPP agreement, in particular:

1. The Private Partner will incur the costs of implementing the project within the scope specified in the PPP agreement (financing the project);

2. Preparation of all necessary project documentation and obtaining all necessary administrative decisions to start, carry out and complete the construction of multi-level car parks at the designated locations, taking into account the conditions and possibilities of development in the mentioned locations, which will be specified in the description of the partnership subject at the stage of the Invitation to Tender, as a result of negotiations with the Contractors. The minimum requirements in this regard will be specified at the stage of the invitation to tender, after negotiations with the Contractors.

3. Construction, based on the prepared project documentation and obtained administrative decisions, of multi-level car parks in a technology that takes into account the conditions and possibilities of development in the mentioned locations, which will be specified in the description of the partnership subject at the stage of the Invitation to Tender, as a result of negotiations with the Contractors. The minimum requirements in this regard will be specified at the stage of the invitation to tender, after negotiations with the Contractors.

4. Obtaining a decision on the permit for the use of the constructed car parks, in accordance with the law.

5. Maintenance, operation and management of the constructed car parks within the scope and on the principles specified in the PPP agreement.

The Public Entity's own contribution to the project will be the land properties:

NOTE: The Public Entity reserves the right to exclude from this procedure, no later than the day of sending the invitation to tender, one or more of the above properties. All changes in the scope of locations/documents of the concession before the transmission of Invitations to Tender will be published and will result in an adequate extension of deadlines (so that contractors have a real possibility of adapting their applications/offer). Furthermore, the Public Entity reserves the right to include at a later stage of the procedure, no later than the day of sending the invitation to tender, selected or all properties, located in the following locations:

The Public Entity indicates in the documents of the procedure a catalogue of basic properties and a catalogue of potential properties, which may be covered by the project. The catalogue of basic properties and potential properties is closed. The final material scope of the project will be determined before sending the invitation to tender exclusively from the properties indicated in the documents of the procedure on the day of publication of the notice. The inclusion of potential properties will take place on the basis of reasons related to the legal, technical, economic and organizational feasibility of the project, with the observance of the principles of transparency and equal treatment of contractors. The determination of the final material scope of the project within the limits specified above does not constitute a change in the criteria for evaluating offers or the minimum requirements specified in the documents of the procedure. Information on the final material scope of the project will be communicated simultaneously to all Contractors qualified for further participation in the procedure. The aforementioned properties will be made available to the Private Partner by the Public Entity for the duration of the project implementation, on the terms described in the PPP agreement. The final scope of the project implementation will be specified in the Invitation to Tender on the basis of the arrangements made during the negotiations and on the basis of the solutions known to the Public Entity proposed by the Contractors in the scope of the project implementation. The Public Entity, after conducting negotiations, admits the possibility of dividing the indicated properties into packages (parts) consisting of one or more locations combined for the purpose of joint implementation. In such a case, the Public Entity will specify in the Invitation to Tender the number of packages (parts) and the properties covered by them, and the Contractors will submit separate offers for each of these packages (parts). The Contractor may submit an offer for any number of packages (parts). It is possible to sign one or more PPP agreements. The Public Entity will specify the minimum technical, physical, functional and legal requirements that the offer must meet [art. 2 point 4 of the Concession Agreement Act], in the Partnership Subject Documents/Concession Documents, transmitted to the Contractors together with the Invitation to Tender. The above assumptions will be the subject of negotiations and may change during the negotiations. The detailed final scope of the project and the manner of its implementation will result from the conducted negotiations, the experience of the Private Partner, but must meet the minimum expectations of the Public Entity.

Duration of the concession: The planned maximum duration of the PPP agreement is 33 years and it will be the subject of negotiations and will result from the offer of the Contractor with whom the agreement will be concluded. The description of the method of evaluating offers within the specified evaluation criteria and the assignment of specific weights (significance) to them will be specified in the Partnership Subject Documents, transmitted to the Contractors together with the invitation to tender.
