Poland – Credit granting services – Udzielenie i obsługa kredytu długoterminowego w wysokości 6 900 000,00 zł

1) The subject of the contract is the granting and servicing of a long-term loan for the Municipality of Lubartów in the amount of 6,900,000.00 PLN for covering the planned budget deficit and repaying previously contracted loans. 2) Detailed conditions of the contract, including quality standards, as referred to in Article 246(2) of the Pzp Act: 2.1) Loan characteristics: a) loan amount: 6,900,000.00 PLN (in words: six million nine hundred thousand, 00/100); b) purpose of the loan: covering the planned budget deficit and repaying previously contracted loans; c) the loan period is set for the years 2026-2036; d) the capital will be repaid in 120 monthly instalments due by the last day of the month, starting from January 2027, in the following amounts: instalments from no. 1 to 24 at 15,000 PLN each, instalments from no. 25 to 72 at 60,000 PLN each (i.e. 48 instalments), instalments from no. 73 to 84 at 65,000 PLN each (i.e. 12 instalments) and instalments from no. 85 to 120 at 80,000 PLN each (i.e. 36 instalments); e) interest will be repaid on a monthly basis, starting from the month in which the loan is disbursed. Interest will be calculated only on the actually utilised loan amount, and the basis for its payment will be a written notification from the Bank on the amount of interest accrued, received 5 days before the payment date. The last interest instalment will be paid in the month in which the last capital instalment is repaid; f) the interest rate will be based on the WIBOR 3M rate, indicating the interest rate for interbank deposits of three months, corrected by a fixed margin of the bank for the duration of the contract; g) the Contracting Authority does not allow the application of other fees and commissions for granting the loan. h) signing the contract will mean that the loan is made available and utilised by the Contracting Authority in tranches resulting from its needs by the deadline of 31 December 2026; i) the Contracting Authority reserves the right not to utilise the full loan amount and the right to early (before the set deadlines) repayment of the loan without incurring additional costs in the form of fees, commissions, etc. j) in the case of early repayment or overpayment of the loan, the Bank will recalculate the interest taking into account the amount paid or overpaid; k) the loan repayment guarantee will be a blank promissory note together with a promissory note declaration and the signature of the Municipality Treasurer; l) the submission of an offer by the Bank will be equivalent to the positive consideration of the loan application; 2.2) Additional information: 1) The Contracting Authority declares that it is not in arrears with the payment of taxes and social and health insurance contributions, 2) The Contracting Authority declares that it does not have receivables that would be secured by creditors in the form provided for by law, in particular by mortgage or pledge, 3) The Contracting Authority informs that it does not have obligations arising from the purchase of receivables, forfaiting, e-financing, leasing, 4) The Contracting Authority informs that there are no enforcement measures on the Contracting Authority's bank accounts, 5) The Contracting Authority informs that it does not have outstanding financial obligations in banks and other financial institutions, 6) The Contracting Authority informs that the municipality has not granted guarantees and sureties in recent years, 7) The Contracting Authority informs that it does not consent to the submission of a declaration of submission to enforcement in the form of a notarial deed, 8) The Contracting Authority informs that the promissory note and promissory note declaration will be signed by the Municipality Treasurer. 9) Entities capital-related to the municipality: - Przedsiębiorstwo Gospodarki Komunalnej Sp. z o.o., REGON 060317799; 100% shares; - Przedsiębiorstwo Energetyki Cieplnej w Lubartowie Sp. z o.o.; REGON 430967060; 100% shares.
