1. The subject of the contract is the preparation of pre-design documentation for the construction of a metro in Kraków. The contract is implemented as part of the investment task No. SI/T1.132/26 entitled: "Metro Construction".

2. The subject of the contract has been divided into the following stages:

1) Basic Contract:

a) Stage Ia – preparation of a feasibility study with an indication of the recommended variant,

b) Stage Ib – preparation of a technical concept,

2) Contract subject to the right of option:

a) Stage II (Option I) – preparation of a detailed technical concept,

b) Stage III (Option II) – preparation of the project information card,

c) Stage IV (Option III) – preparation of an annual natural inventory with a report on the impact of the project on the environment and obtaining a decision on environmental conditions,

d) Stage V (Option IV) – preparation of a functional-user program,

e) Stage VI (Option V) – determination of the impact zones, assessment of the condition of buildings, analysis of dynamic impacts,

f) Stage VII (Option VI) – carrying out detailed geological surveys,

g) Stage VIII (Option VII) – answering questions from tenderers in the procedure for awarding a public contract for the preparation of design documentation or the implementation of construction works.

3. The Contracting Authority may use the right of option on the terms specified in § 1, item 14 of the Draft Contract Terms (hereinafter referred to as PPU), which is Annex 1 to SWZ.

4. The Contractor is obliged to carry out the subject of the contract in accordance with the Description of the Subject of the Contract (OPZ) and its annexes, which are Annex 1 to SWZ. The scope of the subject of the contract and the obligations of the Contractor have been defined not only in the PPU, but also in the OPZ and the Information Exchange Requirements (EIR), which are an integral part of the PPU and should be interpreted jointly.

NOTE: In each place where a Polish Standard PN is indicated or quoted, the Contracting Authority allows equivalent standards, in accordance with Article 101, item 4 of the Pzp Act.

5. In accordance with § 10 of the PPU, the Contractor provides the Contracting Authority with a quality guarantee and warranty for the Documentation constituting the Subject of the Contract in the scope of Stage Ia – VIII for a period of 60 months. The quality guarantee and warranty period runs separately for each Stage from the date of acceptance of the Stage.

6. CONTRACT PERFORMANCE TERM

I. The Contractor is obliged to carry out the subject of the contract within the following terms:

1) Basic Contract – within 18 months from the date of conclusion of the contract, i.e.:

a) The Contractor is obliged to submit to the Contracting Authority a schedule of physical and financial matters within 10 days from the date of signing the contract. This schedule should include the amount of remuneration referred to in § 8, item 1, point 1 of the PPU. The schedule will be presented to the Contracting Authority for acceptance. The Contracting Authority reserves the right to raise objections to the above schedule within 7 days from its submission by the Contractor. The Contractor is obliged to take into account the objections of the Contracting Authority and to submit a corrected schedule of physical and financial matters within 5 days from the date of receipt of the objections from the Contracting Authority. In the event of the Contracting Authority exercising the right of option, the Contractor is obliged to update the schedule of physical and financial matters within 10 days from the date of delivery to the Contractor of the Contracting Authority's declaration of exercising the right of option

b) Stage Ia – preparation of the feasibility study, within 12 months from the date of conclusion of the contract,

c) Stage Ib – preparation of the technical concept, within 18 months from the date of conclusion of the contract.

2) Contract within the framework of the option - the implementation period is up to 64 months from the date of conclusion of the contract, i.e.:

a) Stage II (Option I) – up to 12 months,

b) Stage III (Option II) – up to 4 months,

c) Stage IV (Option III) – up to 22 months,

d) Stage V (Option IV) – up to 26 months,

e) Stage VI (Option V) – up to 14 months,

f) Stage VII (Option VI) – up to 24 months,

g) Stage VIII (Option VII) – up to 12 months, and the mobilization period, referred to in § 1, item 14, point 3 of the PPU, from the date of notification to the Contractor of the exercise of the right of option.

II. The maximum term for the completion of the implementation of Stages from Ia to VIII is 64 months from the date of conclusion of the contract. The Contracting Authority may exercise the right of option within 14 to 38 months from the date of conclusion of the contract in the scope of Stages II – VII, and in relation to Stage VIII within 51 months and 15 days.

III. Detailed information on the terms of contract performance has been specified in § 6 of the PPU, which is Annex 1 to SWZ.

7. Before the deadline for submitting tenders, the Contractor is obliged to submit a bid bond in the amount of: 400,000.00 zł (in words: four hundred thousand złotys 00/100) and maintain it continuously until the date of expiry of the tender binding period, except for cases referred to in Article 98, item 1, points 2 and 3 and item 2 of the Pzp Act. The requirements regarding the bid bond have been indicated in Section XVIII of the SWZ.

8. The method of preparing the tender has been specified in Section X of the SWZ.
