The subject of the contract is: 1) within the basic contract (guaranteed scope): Long-term loan of 3 360 000,00 PLN for the repayment of previously incurred liabilities and financing the deficit. 2) within the contract subject to the option right (scope subject to the option right): Long-term loan up to a maximum of 3 150 000,00 PLN for financing the deficit. Information regarding the option: a) The contracting authority envisages the possibility of using the option, as referred to in Article 441(1) of the Pzp Act, within the scope described in point 1 and 2, by the deadline of 31 December 2026, b) the exercise of the option right takes place at the request of the contracting authority, however, the contracting authority is not obliged to use the full amount specified within the scope of the option, c) the rules for the exercise of the option right: - the exercise of the option right takes place by delivering to the contractor a written request (disposition for loan payment), constituting a declaration of the contracting authority's will to activate the amount of funds specified in this request within the scope of the option right, - requests may be submitted multiple times, however, the sum of the amounts resulting from all submitted requests must not exceed the maximum loan value specified within the scope of the option right, - the payment of loan funds within the scope of the option will take place no earlier than after the contracting authority has established the required loan securities, - in the event of a failure to establish securities, the contractor is entitled to suspend the payment of funds until the contracting authority meets this condition, d) the provisions of the contract relating to the subject of the contract within the basic contract apply accordingly to the subject of the contract within the scope of the option right, e) the exercise of the option right is not mandatory. The contracting authority's failure to use the option does not require stating reasons and does not give rise to any liability for damages on the part of the contracting authority nor does it constitute a breach of contract, f) the option right may be exercised by the contracting authority by submitting requests (dispositions for loan payment) by 31 December 2026 inclusive. To preserve the right to use the option, the date of delivery of the request (disposition for loan payment) to the contractor is decisive. After 31 December 2026, the contracting authority loses the right to submit further requests within the scope of the option right. The payment of funds will take place in accordance with the rules specified in the contract. For the purpose of calculating the offer price, it is assumed that the loan within the scope of the option right will be used in full at 3 150 000,00 PLN. This assumption serves solely the purposes of comparison and evaluation of offers and does not constitute an obligation of the contracting authority to use the option right in full. NOTICE! When calculating the loan price, the principle given in Annex No. 9 to SWZ is applied. This principle serves solely the purposes of calculating and comparing offer prices. During the contract implementation period, interest will be charged in accordance with the actual amount of utilised and unpaid capital and the actual period of capital use, in accordance with the rules specified in the contract. 2. The loan will be repaid in instalments, taking into account the repayment schedule required by the contracting authority. Repayment form: 1) guaranteed scope: year 2035: amount 3 360 000 PLN - 12 monthly capital instalments of 280 000,00 PLN each. 2) scope subject to the option right: year 2035: the loan amount activated within the scope of the option right up to 960 000,00 PLN will be repaid in 2035 in 12 equal monthly capital instalments; year 2036: the loan amount activated within the scope of the option right above 960 000,00 PLN, up to a maximum of 2 190 000,00 PLN, will be repaid in 2036 in 12 equal monthly capital instalments. Maturity date of individual instalments: the last day of the month. The contracting authority reserves the right to repay the entire or part of the loan capital earlier than the date specified in the repayment schedule, without incurring any additional costs, commissions, fees, or compensation for this. In the event of early repayment of part of the capital, interest will be charged solely on the actually utilised and unpaid loan amount, for the actual period of capital use. The contracting authority allows for the possibility of changing the repayment terms for part of the loan capital in the event that making repayment within the terms specified in the repayment schedule would result in non-compliance with the ratio referred to in Article 243 of the Public Finance Act. Changing the repayment terms requires a request from the contracting authority, together with justification, submitted no later than 7 working days before the repayment date of the given instalment, acceptance by the contractor, and the conclusion of an annex to the contract. Changing the repayment terms must not result in an increase in the contractor's margin or the charging of additional commissions, fees, or other costs for this purpose. Interest will be charged in accordance with the rules specified in the contract, taking into account the actual period of capital use. 3. Interest on the loan will be charged for each day of loan use, starting from the day the given loan amount is activated, in accordance with the rules specified in Annex No. 9 to SWZ. Interest for full months will be charged for the actual number of interest days, and for the month of loan activation and the month of full loan repayment – for the actual number of interest days. Maturity date for interest repayment: by the 10th day after the end of the month for which it is charged. The date of interest repayment is considered to be the day the receivable is credited to the loan account. If the payment date falls on a day recognised by law as a non-working day, the maturity date for interest repayment will be the first working day following the legally recognised non-working day. 4.
