Description

The subject of the order is: 1) within the basic order (guaranteed scope): Long-term loan in the amount of 3 360 000,00 PLN for the repayment of previously incurred liabilities and financing the deficit. 2) within the order subject to the right of option (scope subject to the right of option): Long-term loan in a maximum amount of up to 3 150 000,00 PLN for financing the deficit. Information regarding the option a) The Purchaser envisages the possibility of using the option, as referred to in Article 441(1) of the Pzp Act, within the scope described in point 1 ppkt 2, by the deadline of 31.12.2026, b) the use of the right of option takes place upon the request of the Purchaser, however, the Purchaser is not obliged to utilise the full amount specified within the scope of the option, c) the rules for the implementation of the right of option: - the use of the right of option takes place by delivering to the Contractor a written request (disposition for loan payment), which is a statement of the Purchaser's will to activate the amount of funds specified in this request within the scope of the right of option, - requests may be submitted multiple times, however, the sum of the amounts resulting from all submitted requests may not exceed the maximum value of the loan specified within the scope of the right of option, - the payment of loan funds within the scope of the option will take place no earlier than after the Purchaser has established the required loan collateral, - in the event of a lack of collateral, the Contractor is entitled to withhold the payment of funds until the Purchaser meets this condition, d) the provisions of the contract relating to the subject of the contract within the basic order apply accordingly in relation to the subject of the contract within the scope of the right of option, e) the use of the right of option is not mandatory. The Purchaser's non-use of the option does not require stating reasons and does not give rise to any liability for damages on the part of the Purchaser nor does it constitute a breach of contract, f) the right of option may be exercised by the Purchaser by submitting requests (dispositions for loan payment) by 31.12.2026 at the latest. For the purpose of preserving the right to use the option, the date of delivery of the request (disposition for loan payment) to the Contractor is decisive. After 31.12.2026, the Purchaser loses the right to submit further requests within the scope of the right of option. The payment of funds will take place in accordance with the rules specified in the contract. For the purpose of calculating the offer price, it is assumed that the loan within the scope of the right of option will be utilised in full in the amount of 3 150 000,00 PLN. This assumption serves only the purposes of comparison and evaluation of offers and does not mean the Purchaser's obligation to utilise the right of option in full. NOTE! When calculating the loan price, the principle given in Annex No. 9 to SWZ is applied. This principle serves only the purposes of calculating and comparing offer prices. During the contract implementation period, interest will be charged in accordance with the actual amount of utilised and unpaid capital and the actual period of capital use, in accordance with the rules specified in the contract. 2. The loan repayment will take place in instalments, taking into account the repayment schedule required by the Purchaser. Form of repayment: 1) guaranteed scope: year 2035: amount 3 360 000 PLN - 12 monthly capital instalments in amounts of 280 000,00 PLN each. 2) scope subject to the right of option: year 2035: the amount of the loan activated within the scope of the right of option up to 960 000,00 PLN is to be repaid in 2035 in 12 equal monthly capital instalments; year 2036: the amount of the loan activated within the scope of the right of option above 960 000,00 PLN, up to a maximum of 2 190 000,00 PLN, is to be repaid in 2036 in 12 equal monthly capital instalments. Maturity date of individual instalments: the last day of the month. The Purchaser reserves the right to repay all or part of the loan capital earlier than the date specified in the repayment schedule, without incurring any additional costs, commissions, fees or compensation for this. In the event of early repayment of part of the capital, interest will be charged only from the actually utilised and unpaid loan amount, for the actual period of capital use. The Purchaser allows for the possibility of changing the repayment dates of part of the loan capital in the event that making the repayment within the dates specified in the repayment schedule would result in the failure to meet the ratio referred to in Article 243 of the Public Finance Act. The change of repayment dates requires a request from the Purchaser together with a justification, submitted no later than 7 working days before the repayment date of the given instalment, acceptance by the Contractor and the conclusion of an annex to the contract. The change of repayment dates may not result in an increase in the Contractor's margin or the charging of additional commissions, fees or other costs for this. Interest will be charged in accordance with the rules specified in the contract, taking into account the actual period of capital use. 3. Interest on the loan will be charged for each day of loan use, starting from the day the given loan amount is activated, in accordance with the rules specified in Annex No. 9 to SWZ. Interest for full months will be charged for the actual number of interest days, and for the month of loan activation and the month of full loan repayment – for the actual number of interest days. Maturity date for interest repayment: by the 10th day after the end of the month for which it is charged. The date of repayment of interest is considered to be the day the amount due is credited to the loan account. If the payment date falls on a day recognised by law as a non-working day, the maturity date for interest repayment will be the first working day following the legally recognised non-working day. 4.
