Description

The Stadtwerke Neuss Energie und Wasser GmbH is a company whose shares are held to 67.50 % by the Stadtwerke Neuss GmbH, to 17.50 % by the Westenergie AG and to 15.00 % by the Thüga AG. The Stadtwerke Neuss GmbH, as the main shareholder of the Stadtwerke Neuss Energie und Wasser GmbH, is in turn 100 % owned by the Stadt Neuss. The core business of the Stadtwerke Neuss Energie und Wasser GmbH is the adequate, secure and environmentally sustainable supply of energy, water, district heating and local heating to the population and economy. The Stadtwerke Neuss Energie und Wasser GmbH plans to establish a joint venture with a private partner to undertake municipal tasks in the civil engineering sector. A jointly managed company (hereinafter: "civil engineering company") will in future implement a part of the civil engineering and pipeline construction projects that arise in Neuss each year quickly and efficiently, streamline existing processes and consistently reduce unnecessary interfaces. The projects to be implemented by the civil engineering company are to include: -the operational implementation of construction and maintenance measures on supply networks, -the control of project processes, -the assurance of quality, occupational safety and scheduling, and -the support of the shareholders in the long-term infrastructural development. The Stadtwerke Neuss Energie und Wasser GmbH and the cooperation partner are to be involved in the civil engineering company to be established in roughly equal parts. The cooperation is based on the principle of minimising the entry risk for both sides through clear responsibilities, transparent structures and a graduated development concept. This includes, in particular, a jointly defined growth path (e.g. personnel build-up and prospective site development) and systematic monitoring of the cooperation in an initial trial phase of probably two years. After the expiry of this phase, a joint decision is to be made on the continuation, deepening or expansion of the cooperation. The civil engineering company will receive its orders exclusively from the Stadtwerke Neuss Energie und Wasser GmbH. The civil engineering company is to initially receive a significant portion of the annual construction programme in the area of the grid-bound infrastructure of the Stadtwerke Neuss Energie und Wasser GmbH. The aim is to create reliable execution and investment security through this order. The civil engineering company will not have its own operational personnel. Personnel, machines, tools, equipment and buildings will initially be provided by the cooperation partner and made available to the company for use on a paid basis. The services rendered will be billed on the basis of a market- standard performance schedule that is regularly updated. The estimated annual total costs for the civil engineering and pipeline construction projects currently amount to approx. 9.2 million EUR (net). Of this, approximately 70% will fall to the potable water sector, 25% to the natural gas sector and 5% to the district heating sector. The civil engineering company is to start with a volume of around 2.5 million EUR.
