4.1. The subject of the contract is the granting of a long-term loan in the amount of 7,019,778.25 for the Municipality of Krośniewice. 4.2. Description of the subject of the contract: The subject of the contract is the granting and servicing of a long-term loan in the amount of 7,019,778.25 PLN for the Municipality of Krośniewice, intended to finance the planned budget deficit for the year 2026 and to repay previously incurred liabilities from loans and credits, in accordance with Resolution No. XXXVI/204/26 of the Municipal Council of Krośniewice, dated 24 June 2026, regarding the granting of a long-term loan. 1) The date of signing the contract will be the date the loan is made available to the Contracting Authority. The loan will be disbursed in three tranches, within the deadlines adapted to the needs of the Contracting Authority, by 31 December 2026, based on the written instructions of the Contracting Authority. 2) Grace period for loan repayment – until 29 September 2027. 3) Loan repayment from 30 September 2027 to 30 September 2038 – according to the schedule constituting Annex No. 6 to this SWZ. 4) Loan instalments payable according to the loan repayment schedule (Annex No. 6 to the SWZ). 5) Interest on the utilised loan is calculated on a monthly basis and payable by the last day of each month. 6) Interest is calculated for each day of loan utilisation, according to the actual debt status. 7) For the purpose of comparing offers, the offer price (cost of the loan) should be calculated based on the interest rate according to the formula: WIBOR 3M rate as of 06 July 2026 – i.e. 3.85 plus the bank margin (assuming a calendar year as 365 days). 8) Form of loan security – blank promissory note together with a promissory note declaration (signed by the Mayor of Krośniewice with the countersignature of the Municipal Treasurer). 9) The Contracting Authority reserves the right to make an early repayment of the loan, without the bank charging any remaining interest or additional fees and commissions related to loan servicing. 10) The Contracting Authority reserves the right not to utilise the full loan amount without incurring any additional fees and commissions. In the event of a loan being taken out in an amount lower than planned, this will not result in the termination of the loan agreement or any other claims by the Contractor against the Contracting Authority. 11) The Contracting Authority reserves the right to extend the loan repayment period without incurring any additional fees and commissions – for a maximum period of 2 years. 12) The bank will not charge any additional fees or commissions for granting and servicing the loan, other than those mentioned in the SWZ. 13) All information and documents regarding the financial situation of the Contracting Authority are available on its website at https://bip.krosniewice.pl/. At the same time, the Contracting Authority does not allow the possibility of preparing data and information for the needs of the Contractors in the form processed according to the templates and guidelines resulting from their individual requirements. 14) Loan and interest currency – Polish zloty (PLN).
