Description

The contracting authority makes the following changes, as well as the changes under section 5.1 and section 5.1.6, compared to the original notice with the number 222403-2025. The subject of the tender is the lease, operation and modernisation of the Cassiopeia Therme in Badenweiler. The BKV - Bäder- und Kurverwaltung Baden-Württemberg, a public-law institution wholly owned by the State of Baden-Württemberg ("contracting authority"), intends to find a qualified operator with long-term experience who recognises, preserves and economically, sustainably and future-proofs the historical and cultural significance of the Cassiopeia Therme. The Cassiopeia Therme in Badenweiler has been in need of renovation for some time. Significant investments in the existing structure are necessary to preserve the historical substance for future generations and, at the same time, to make the spa future-proof in terms of sustainability and attractiveness. In particular, the exact scope of the leased properties and buildings or facilities as well as the obligations of the operator will be specified by the contracting authority in the negotiation procedure. Currently, the Staatsbad Badenweiler GmbH ("SBG"), a 100% subsidiary of the BKV - Bäder- und Kurverwaltung Baden-Württemberg AöR ("BKV"), operates the Cassiopeia Therme. The BKV is wholly owned by the State of Baden-Württemberg. According to the current status, the successful bidder will not lease the Cassiopeia Therme itself, but through the SBG, which it will acquire. For this purpose, the successful bidder will presumably conclude a share purchase agreement with the BKV. The contracting authority reserves the right to refrain from selling the SBG's shares to the successful bidder and to conclude the lease agreement directly with the bidder.
