4.1. The subject of the procurement is: 4.1.1. Task No. 1 [as part of the basic procurement] – the implementation of a work in the form of an Implementation, the result of which will be the creation and launch of an operational System for the Management of Co-financing and Refunds SODiR 3.0, meeting the requirements described in the PPU, including the OPZ. Task No. 1 is divided into the following Stages: 4.1.1.1. Stage 1 – Functional Analysis of the SODiR 3.0 System, 4.1.1.2. Stage 2 – Construction of the SODiR 3.0 System. In Stage 2, the Contractor will perform data migration from the SODiR 2.0 and PAWOR systems to the SODiR 3.0 system; 4.1.1.3. Stage 3 – Implementation Workshops, 4.1.1.4. Stage 4 – Production Start and Stabilization of the SODiR 3.0 System in the Production Environment; 4.1.1.5. Stage 5 – Post-Implementation Documentation of the SODiR 3.0 System. 4.1.2. Task No. 2 – provision of Technical Assistance and Maintenance services for the SODiR 3.0 System, as described in the PPU and OPZ, as part of the basic procurement and as part of the Option. 4.1.3. Task No. 3 – provision of Modifications and Development of the SODiR 3.0 System within a maximum limit of 60,000 man-hours. Task No. 3 will be implemented in the Option. Further referred to as the “Subject of the Contract”, “Subject of the Procurement”. 4.1.4. As part of the implementation of the Subject of the Procurement, the Contractor undertakes to: 4.1.4.1. provide the Purchaser with a warranty and guarantee on the terms described in detail in Paragraph 12 of Annex No. 2 to the SWZ; 4.1.4.2. transfer to the Purchaser the property rights and dependent rights to the Works created or supplied during the implementation of the Contract on the terms and conditions described in detail in Paragraph 18 of Annex No. 2 to the SWZ; 4.1.4.3. provide the Purchaser with licenses to use the Works, on the terms and conditions described in detail in Paragraph 18 of Annex No. 2 to the SWZ. 4.1.5. The Detailed Description of the Subject of the Procurement, including ATiK, MR, and the manner of their implementation, is specified in the provisions of the Contract (Annex No. 2 to the SWZ), in particular the OPZ (Annex No. 1 to the Contract) together with the annexes. 4.1.6. In order to avoid any doubt, the Parties confirm that in the scope of the Implementation, the interest of the Purchaser will be satisfied exclusively as a result of delivering to him a complete, fully functional SODiR 3.0 System together with the Implementation Documentation, which constitutes a work – and only in such a case will there be proper performance of the Contract in the scope of the Implementation. 4.1.7. Details regarding the Option are included in the Projected provisions of the Contract, which will be introduced into the content of the Contract for the public procurement, further as the “PPU”. 4.2. The Detailed Description of the Subject of the Procurement and the manner of its implementation is contained in Annex No. 1 to the SWZ with the annexes Description of the Subject of the Procurement together with the annexes (further as “OPZ”) and in Annex No. 2 to the SWZ (PPU). 4.3. The Purchaser requires the employment by the Contractor or Subcontractor, on the basis of an employment contract, of a person/people performing tasks related to current service, in particular consisting in accepting and registering correspondence, conducting a schedule of meetings, the performance of which consists in carrying out work in the manner specified in art. 22 Paragraph 1 of the Act of 26 June 1974 – Labour Code. (this obligation does not apply to situations where these works will be performed independently and personally by natural persons conducting business activity in the form of so-called self-employment as Subcontractors). Details regarding the manner of documenting employment and controlling the fulfilment by the Contractor or Subcontractor of the requirements regarding employment on the basis of an employment contract as well as the provisions regarding sanctions for non-compliance with the above-mentioned requirements are included in the provisions of the PPU.
