The subject of this framework agreement are leasing services for municipalities, cities, their companies, municipal federations and other municipal organisations as well as parishes, which include leasing financing, management services intended for the management of financed leasing objects, services related to the handling of leasing objects to be returned after the rental period, and the provision of other separately ordered services to customers. The subject of the procurement is described in more detail in the invitation to tender and its annexes, especially in Annex 1 "Subject of the Procurement and Requirements".

CONTRACT PERIOD

The contract period is two (2) years. Hansel Oy has the right to extend the contract period by one option period of at most two (2) years under the terms of the framework agreement. See also Annex A of the invitation to tender, which contains Section 6 of the framework agreement.

SCOPE OF THE FRAMEWORK AGREEMENT

The framework agreement may be used by the customers listed in Annex B "Customers". The annex also describes the estimated start date for the use of the framework agreement for each customer, if it is different from the entry into force of the framework agreement. The estimated forecasted VAT-exclusive value (financed capital) of the leasing objects to be financed with the framework agreement during the framework agreement period (including the option period) is approximately 150 000 000 - 182 000 000 euros. The estimated forecasted VAT-exclusive value of the separately ordered services to be provided as a minimum, voluntarily provided services and other additional services during the framework agreement period (including the option period) is approximately 3 000 000 - 8 000 000 euros. The estimated use of the leasing services included in the framework agreement, financing leasing services and separately ordered services, and for example their distribution to different product categories and rental periods, is described in particular in Annex 3 "Prices" of the invitation to tender. The maximum VAT-exclusive value of the financed capital, the minimum required services, voluntarily provided services and other additional services to be financed with the framework agreement during the framework agreement period (including the option period) is 190 000 000 euros. During the preparation phase of the procurement, one (1) customer has preliminarily reported that it will use its own security agreement. The estimated forecasted VAT-exclusive value (financed capital) of the leasing objects to be financed for limited liability companies and foundations is approximately 38 500 000 euros. The figures are non-binding estimates based on the information provided by the customers participating in the framework agreement, the customers' historical data on the use of leasing services, taking into account the changes reported by the customers to this information and Hansel Oy's estimate of the use of the framework agreement. The determination of the financed capital is also hindered by the fact that the framework agreement can be used to finance very different objects, the price development of which is difficult to estimate. In addition, the cost-saving pressures of the public sector and the changes in the operations and structures of organisations resulting from them make it difficult to determine the estimated value of the procurement. This procurement is subject to the EU Regulation (EU) 2022/2560 on distortive foreign subsidies. The tenderer must carefully familiarise themselves with the FSR guidelines for the tenderer attached as Annex E and attach to their tender a certificate or declaration drawn up by the tenderer in accordance with the requirements of Annex E.1 "FS-PP".
