The City of Porvoo, the City of Lohja, the Municipality of Nurmijärvi, the Municipality of Tuusula, the Municipality of Vihdi, the Municipality of Mäntsälä, the Municipality of Sipoo, the City of Karkkila, the Municipality of Pornainen, the Länsi-Uusimaa Well-being Services County (acting solely as a share seller, not as a buyer) and the Keski-Uusimaa Well-being Services County (hereinafter "the buyer" or "the procuring entity") invite you to submit a participation application to participate in the procurement procedure. The subject of the procurement includes three service packages: 1) Procurement of occupational health services for the employees of the procuring entities. One supplier will be selected in the competition to purchase the share capital of Keski-Uusimaa Työterveys Oy. Each procuring organisation will enter into a service agreement with Keski-Uusimaa Työterveys Oy, which will continue to provide occupational health services as a company owned by the winning bidder. The parties will commence the partnership in accordance with the draft service agreements and operating plans attached to the invitation to tender. 2) Responsibility for the provision of occupational health services for enterprises in the area, as assigned to the Keski-Uusimaa Well-being Services County. In addition to the occupational health services provided to employees, the procurement includes occupational health services arranged for workplaces located in the operational area of the Keski-Uusimaa Well-being Services County, in accordance with the law on the responsibility to arrange these services. The procurement also includes an option under which the Keski-Uusimaa Well-being Services County may, during the contract period, extend the service agreement with Keski-Uusimaa Työterveys Oy to include voluntary health care services and other health services (Kela 2 services) for the personnel of the well-being services county. The supplier must commit to this option in their tender. The terms of the option are described in more detail in Appendix 4 of the participation application instructions. 3) Company acquisition of the entire share capital of Keski-Uusimaa Työterveys Oy. The winner of the tender will purchase the entire share capital of Keski-Uusimaa Työterveys Oy. Keski-Uusimaa Työterveys has approximately 17,500 clients, 12 offices and approximately 48 employees. The company's turnover in 2025 was approximately 9.4 million euros. This is also the estimated annual value of the procurement. The supplier must note that before the share purchase, Keski-Uusimaa Työterveys Oy will be merged with Uudenmaan Työterveys Oy, whose turnover in 2025 was approximately 3 million euros. In 2025, Uudenmaan Työterveys Oy had approximately 8,500 clients. The City of Porvoo acts as the procuring entity on behalf of all the procuring entities participating in the joint procurement and makes decisions related to the procurement procedure at all stages, including the selection of suppliers for the next stage of the procurement procedure. However, all procuring entities participating in the joint procurement make their own procurement decisions and decisions on the sale of shares.
