Poland – Credit granting services – Udzielenie i obsługa długoterminowego kredytu bankowego w łącznej wysokości 7 000 000,00 zł z terminem spłaty od 2031 r. do 2038 r.

The subject of the contract is the provision and servicing of a long-term bank loan in the total amount of 7,000,000.00 PLN (seven million zlotys) with a repayment term from 30 June 2031 to 30 November 2038 for financing the planned deficit in the amount of 4,300,000 PLN and repayment of previously incurred liabilities in 2026 in the amount of 2,700,000 PLN. 2. The loan will be granted and settled in Polish zlotys (PLN). 3. The Contractor will make the loan available to the Purchaser on the date of signing the loan agreement. The loan will be activated once on the date of signing the loan agreement to the account of the Municipality of Dębnica Kaszubska, no later than the next business day from the date of signing the agreement. 4. The Purchaser reserves the right to not use the entire granted loan without incurring additional commissions and fees for this purpose. 5. The loan will be repaid in 16 instalments. 6. In the event that the loan is repaid before the repayment date, interest will be calculated up to the day preceding the loan repayment date, and not until the end of the contract period. 7. Interest will be paid quarterly on the actual debt, in accordance with the schedule specified in the loan agreement. 8. Interest may not be capitalised. 9. The Contractor will not charge any fees or commissions related to the granting, insurance and servicing of the loan. 10. The loan interest rate will be variable, equal to the sum of WIBOR 3M + m, where m is the bank's fixed margin, unchanged during the contract period. WIBOR 3M will be taken from the last business day of the month preceding the start of the interest period. For the first interest period, the interest rate will be set based on WIBOR 3M from the last day of the month preceding the month in which the agreement will be signed. In the event that the base rate WIBOR three-month is negative, until it reaches a positive value, the base rate will be taken as zero for interest calculation purposes. 11. For the purposes of the loan agreement, when calculating interest, it is assumed that the year has 365/366 days. 12. For the purposes of the offer, WIBOR 3M from 20.08.08.2026 should be taken, i.e. 3.84% p.a. 13. The loan will be granted without the need to open a subsidiary account. 14. The purpose of the loan in accordance with Resolution No. XXIII/293/2026 of the COUNCIL of the MUNICIPALITY of DĘBNICA KASZUBSKA of 18 May 2026 on the issue of taking out a long-term loan in 2026. 15. The conditions for participation in the procedure are specified in the tender documents, i.e. point 14 of the SWZ. Based on Article 112(1) and (2) of the PZP Act, the Purchaser sets the following conditions for participation in the procedure: 1. conditions for participation regarding entitlements to carry out a specified economic or professional activity – the condition will be considered met if the Contractor demonstrates that it has the entitlements to perform banking operations in accordance with the Act of 29 August 1997 on Banking Law (i.e. Journal of Laws of 2026, item 38, as amended) i.e. a current permit authorising it to perform banking operations or another document confirming that the Contractor is entitled to perform banking operations, issued by the Financial Supervision Commission.
