The subject of the contract is the provision of a long-term loan in the amount of 4,400,000.00 PLN, with a repayment period of 10 years, i.e. from 29.01.2027 to 31.12.2036. 2. The loan should be made available to the Contracting Authority immediately after the contract is signed and the dispatch to activate the tranche is sent electronically or by post, no later than 30 December 2026. 1) The predicted disbursement in 3 tranches, i.e.: a) 1 tranche 1,000,000.00 PLN immediately after the contract is signed, b) 2 tranche 1,000,000.00 PLN no later than 15 December 2026 with the possibility of waiving the tranche, c) 3 tranche 2,400,000.00 PLN no later than 30 December 2026 with the possibility of waiving the tranche. 2) The Contracting Authority reserves the right to make payments in tranches, which it will notify the Contractor with appropriate notice, change the term, amount and number of tranches, including also the non-use of the full loan amount with the reservation that the part of the loan not activated by 30.12.2026 will expire. 3. Additional information: 1) Grace period in capital repayment until 28.01.2027. 2) Grace period in interest repayment: interest repayment from 29.01.2027. 3) The loan interest rate will be calculated according to the variable interest rate on an annual basis, based on the WIBOR 3M rate, increased by the bank's margin. 4) The margin presented in the offer may not be increased during the term of the loan agreement. 5) The loan will be secured by a blank bearer promissory note together with a promissory note declaration. The Contracting Authority does not foresee a declaration of submission to enforcement in accordance with the provisions of the Banking Law. 6) Interest will be repaid in monthly instalments in amounts resulting from the actual debt on the last day of each month. 7) Interest will be calculated on the used loan amount. 8) Repayment of the loan instalments in the years 2027 - 2036 will be made in monthly instalments starting from 29.01.2027 for a period of 120 months, payable on the last day of each month together with interest. Capital repayment – capital instalments in the amount of: 2027 – 120,000.00 PLN, 12 instalments x 10,000.00 PLN 2028 – 240,000.00 PLN, 12 instalments x 20,000.00 PLN 2029 – 300,000.00 PLN, 12 instalments x 25,000.00 PLN 2030 – 300,000.00 PLN, 12 instalments x 25,000.00 PLN 2031 – 360,000.00 PLN, 12 instalments x 30,000.00 PLN 2032 – 360,000.00 PLN, 12 instalments x 30,000.00 PLN 2033 – 720,000.00 PLN, 12 instalments x 60,000.00 PLN 2034 – 720,000.00 PLN, 12 instalments x 60,000.00 PLN 2035 – 660,000.00 PLN, 12 instalments x 55,000.00 PLN 2036 – 620,000.00 PLN, 11 instalments x 50,000.00 PLN and 1 instalment x 70,000.00 PLN (payable 31.03.2036) 9) In the event that the loan repayment date falls on a non-working day, the Contracting Authority will settle the required instalment on the first working day after the repayment date. 10) The loan may not be subject to other charges than those listed in the bank's offer. 11) The Contracting Authority has the right to repay the loan before the due date, without incurring additional costs for this purpose. In the event that the loan is repaid earlier – interest will be calculated until the date of loan repayment. 12) The loan should be made available to the Contracting Authority after the contract is signed. The Contractor is obliged to make the financial resources available to the Contracting Authority by transferring them to the bank account No 25 9194 0007 0055 0143 2000 0010 in BS Siedlce O/Skórzec operated for the Gmina Skórzec. 13) There are no enforcement liens on the Gmina's accounts in banks. 14) The Gmina does not have outstanding liabilities in banks. 15) No remedial proceedings were conducted in the Gmina in accordance with the Act of 27 August 2009 on public finance (Journal of Laws of 2025 item 1483 as amended). 16) No enforcement actions were conducted through a court bailiff at the request of banks in the Gmina. 17) The Contracting Authority does not have liabilities under the purchase of receivables, forfaiting, factoring, eFinancing, leasing. 18) The Contracting Authority has not granted guarantees and securities to other entities. 19) Entities capital-related to Gmina Skórzec: Zakład Gospodarki Komunalnej Skórzec Sp. z o.o., ul. Siedlecka 3 08 – 114 Skórzec, REGON 521647445, NIP 8212677680 – 100 % shares, share capital: 1,062,500.
