Poland – Credit granting services – Udzielenie kredytu bankowego na spłatę zobowiązań z tytułu wcześniej zaciągniętych kredytów i pożyczek w kwocie 4 899 927,34 zł

The subject of the contract is the provision of a loan for the repayment of previously incurred liabilities in the amount of 4,899,927.34 PLN. The interest rate on the loan should be based on the WIBOR 3M index applicable on 24 September 2026 plus the bank's margin for granting the subject loan. For the purpose of determining the bid price, it is assumed that the loan will be fully disbursed on 5 November 2026. This date is given solely for the purpose of calculating the bid price. The Contracting Authority reserves the right to use the loan in any amounts, terms, and transactions based on the Contracting Authority's payment instructions until 31 December 2026. The Contracting Authority has the right to use a lower amount of the loan without incurring additional costs. The loan agreement must include a grace period for loan repayment until 30 March 2027. The loan will be repaid in quarterly instalments at the end of each quarter. The first loan instalment will be due by 31 March 2027. The principal instalments will be: In 2027 – 4 instalments of 50,000 PLN, in 2028 – 4 instalments of 100,000 PLN; in 2029 – 4 instalments of 125,000 PLN; in 2030 – 4 instalments of 125,000 PLN; in 2031 – 4 instalments of 125,000 PLN; in 2032 – 4 instalments of 125,000 PLN; in 2033 – 4 instalments of 125,000 PLN; in 2034 – 4 instalments of 125,000 PLN; in 2035 – 4 instalments of 125,000 PLN, in 2036 – 3 instalments of 200,000 PLN, 1 instalment of 199,927.34 PLN. The final principal instalment will be due by 31 December 2036. Interest will be calculated on the actual loan balance and paid quarterly by the 10th day of the month following the relevant quarter. The first interest payment will be due by 10 January 2027. Interest on the final loan instalment will be paid on the due date of the final principal instalment. The Contracting Authority specifies a blank promissory note with a promissory declaration without the signature of the treasurer as the form of security for loan repayment. The Contracting Authority reserves the right to early loan repayment without incurring any additional costs. The Contracting Authority reserves the right to early loan repayment, with interest calculated up to the date of loan repayment and not until the end of the contract, without compensatory commission. The Contracting Authority reserves the right to extend the loan period and to change the amount of principal instalments during the loan repayment period, depending on the financial condition of the Municipality. The Contracting Authority reserves the right to revalue the loan without additional fees in the event of Poland's entry into the eurozone. For the calculation of the price and repayment schedule for the loan agreement, the actual calendar containing the actual number of days in each month and the actual number of days in the year will be used. 2.
