This contract involves concluding a framework agreement (4 years) for the supply and installation of dental units and suction installations (with preventive maintenance). Initially, this concerns the new construction for the Dental Service of UZ Leuven. The dental installation for the new construction consists of: - 101 (V.H.) dental units, each consisting of a fixed dental chair with treatment unit - A central wet suction installation including amalgam separation (coupled with an agreement for the execution of preventive maintenance) - An extra holder for suction lines for the box hospital dentistry where no fixed dental chair will be placed. The 101 fixed dental chairs include an estimated quantity of 91 chairs for the Dental Service and 10 chairs for the Oral and Maxillofacial Surgery (MKA) Service, each with their own specifications. The contract does not include integrated oral scanners, drills, screens and dental examination lamps. The first delivery with installation is expected (approximately) in 2029. The Contracting Authority will provide more information about the planned installation date six months in advance. This dental installation must be operational no later than 42 calendar days after call-off. Regarding the supply of maintenance services, the Contractor will be responsible for the following performances: - Suction installation: o Preventive maintenance contract starting from the date of the provisional delivery of the dental installation and this for a period of 15 years. This agreement can be terminated by the contracting authority at any time provided that a notice period of 3 months is observed, which starts the day after the registered letter is sent. The price for this preventive maintenance is expected to be included in the purchase price during the warranty period. After the final delivery, the price for the maintenance contract will be invoiced annually at the end of each 12-month period o Interventions for defective dental installation: in case of failures or defective dental installation – for whatever reason - it will be expected from the Contractor that they do everything in their power to get the installation repaired as soon as possible. These performances will be settled on a time and materials basis (thus no annual lump sum) - Dental Units: o The Contractor will, after the provisional delivery, proceed to provide training so that the execution of the preventive maintenance as well as the most common corrective interventions can be performed by the Contracting Authority o Supply of 1 maintenance kit per unit per year o Interventions for defective Dental Installations that cannot be remedied by the Contracting Authority will be settled on a time and materials basis (no contract with annual payment) The Contracting Authority reserves the right to also call off any other deliveries of units (thus outside the initial deliveries for the new construction Dental Services) during this 4-year period. The 4-year term of the framework agreement starts at the moment of the first call-off. Given the lifespan of the units, the contract for preventive maintenance of the suction installation will have a duration of 15 years. This will start from the provisional delivery of the installation. The agreement for interventions for defective Dental Installations will start from the provisional delivery and will be settled (after the warranty period) each time on a time and materials basis.
