The subject of the contract is the supply of needles for the cryoablation of kidney tumours, including the use of a console for the current needs of the University Clinical Hospital named after Fryderyk Chopin in Rzeszow. 2. The detailed description of the contract items, estimated quantity and technical, functional and quality requirements are presented in: the Price-offer Form (Annex no. 1 to SWZ), Description of the contract item - Summary of the required parameters of the console for cryoablation procedures (Annex no. 2 to SWZ), which are an integral part of the SWZ. 3. The console offered for use in cryoablation procedures must meet the requirements specified in the applicable legal provisions and the technical, functional and quality requirements specified by the Contracting Authority. 4. The requirements regarding the manner of contract performance, in particular the rights and obligations of the Parties, the rules for the performance of the contract, the acceptance of the contract items, payment terms, liability of the Parties and other conditions for the performance of the contract are specified in the Draft Contract Terms, which are Annex no. 9 to the SWZ. These documents are an integral part of the Specification of Contract Conditions. 5. The Contracting Authority does not allow the submission of variant offers. 6. The Contracting Authority does not allow the submission of equivalent offers. 7. The Contracting Authority does not divide the contract into parts. Therefore, the Contracting Authority does not allow the submission of partial offers, as referred to in Article 7, point 15 of the Public Procurement Law. Reasons for not dividing: The subject of the contract is the supply of needles for the cryoablation of kidney tumours, including the use of a console for the current needs of the University Clinical Hospital named after Fryderyk Chopin in Rzeszow. The offered console must ensure compatibility with consumable materials intended for the cryoablation of tumour tissues, in particular with needles for cryoablation. Dividing the contract into parts would result in technical difficulties and the need to coordinate the actions of different Contractors performing the individual parts of the contract, which could seriously threaten the proper performance of the contract. 8. CONTRACT PERFORMANCE DEADLINE: 1) Contract performance deadline - for 24 months, from the date of signing the contract. 2) The Contracting Authority allows for the possibility of changing the contract validity period in the event that the entire subject of the contract is not realised within the contract period due to lower contracts – changing the contract requires an annex, with the Contracting Authority unilaterally notifying the Contractor of the proposed contract extension before the expiry of the term for which it was concluded. 9. The Contracting Authority reserves the right to use the option referred to in Article 31, paragraph 1 and Article 441, paragraph 1 of the Pzp on the basis and in the manner described below: 1) The Contracting Authority may use the option described in the SWZ in full or in part several times in the event that during the contract period the basic scope is exhausted and the purchase of additional quantities of the contract item is in the interest of the Contracting Authority and results from its current needs, but only up to the maximum scope of the option (in accordance with the Price-offer Form); 2) the contract performed under the option is a unilateral right of the Contracting Authority, therefore the Contracting Authority's failure to exercise the option does not constitute a basis for the Contractor to claim any claims against the Contracting Authority, nor can the Contractor demand its performance; 3) by starting to use the option, the Contracting Authority will notify the demand for the contract items together with a declaration that it will use the option. The above declaration is an Annex to the contract. The absence of the above declaration indicates a waiver of the optional contract; 4) at the time of submitting the declaration of exercising the option, the Contracting Authority incurs a financial obligation in the amount resulting from the scope of deliveries; the scope of deliveries will be specified in the demand submitted on an ongoing basis after sending the declaration of using the option; 5) the rules for the performance of the contract covered by the option will be the same as those applicable to the performance of the basic contract. The Contracting Authority also reserves that the unit prices covered by the option will be identical to those in the basic contract and unchanged throughout the contract performance period, except for situations described in the Draft Contract Terms regarding public procurement.
