**V. DESCRIPTION OF THE SUBJECT OF THE CONTRACT**

**1. The subject of the contract is the provision of advisory services for the Contracting Authority, acting on its own behalf and on behalf of Port Lotniczy Łódź im. Władysława Reymonta sp. z o.o., in the process of acquiring a capital partner or concessionaire for Port Lotniczy w Łodzi, divided into 2 parts: Part I of the contract - legal/transactional advisor services Part II of the contract - industry-financial advisor services (process leader)**

**2. The description of the needs of the Contracting Authority, which is the subject of the contract, is defined in Annex No. 1 to the OPiW (Description of the Subject of the Contract, hereinafter: “OPZ”).**

**3. The minimum requirements relating to the subject of the contract or the execution of the contract, which are not subject to negotiation, which must be met by all offers: Part I a) completion of Stage I (from Part I of the contract) – Stage I ends with the preparation of a written report containing: the legal element of the investment teaser, list of investors and market sounding report with recommendations. b) division of the contract into a basic contract and an option. c) division of the option into two models: joint venture and service concession (the scope of the option will be subject to negotiation) Part II a) performance of a written analysis of the potential of the airport, excluding the scope of the analysis (the scope of the analysis will be subject to negotiation) b) indication of the areas of activity of the company, which may be attractive to a potential investor, c) indication of business risks for the City and the Airport Company for cooperation d) Stage I (from Part II of the contract) ends with the submission to the Contracting Authority of a written report containing the results of the analyses, investment teaser, list of investors and market sounding report e) minimum team composition: aviation industry expert, strategy expert, financial analyst, project leader, f) division of the contract into: basic contract and options g) division of the option into two models: joint venture and service concession (the scope of the option will be subject to negotiation)**

**4. The contract has been divided into 2 parts as mentioned. The Contracting Authority allows for the submission of partial applications. The Contractor may submit applications for admission to participate in the procedure for one or both parts of the contract.**

**5. The evaluation of applications for admission to participate/offers in the procedure and the selection of the most advantageous offer will be carried out separately for each part of the contract.**

**IV. AWARD PROCEDURE**

**7. Stages of the procedure: I. Stage: Application for admission to the procedure: 1) assessment of the Contractor in terms of the absence of grounds for exclusion – on the basis of the preliminary JEDZ declaration and confirmation of compliance with the conditions of participation in the procedure in terms of technical and professional capacity on the basis of some subjective evidence; 2) selection of Contractors invited to submit preliminary offers on the basis of the selection criteria described in Sections IX and XII of the OPiW. II. Stage: Invitation to submit preliminary offers: 1) invitation to submit preliminary offers to Contractors whose applications have not been rejected, including the scope subject to negotiation, 2) evaluation of preliminary offers, 3) the offer is rejected if it does not meet the requirements indicated in Section XV of the OPiW. III. Stage: Invitation to negotiations: 1) invitation to negotiations of all Contractors who submitted preliminary offers not subject to rejection; 2) the content of the preliminary offer, offers submitted during negotiations and the negotiations themselves are confidential. IV. Stage: Invitation to submit final offers: 1) invitation to submit final offers, evaluation of final offers submitted on the basis of the requirements specified in the SWZ; 2) selection of the most advantageous offer.**

**VII. CONTRACT PERFORMANCE PERIOD**

**Contract performance period: Part I and II of the contract 8 months from the date of signing the contract, including: 1. Stage I - 3 months from the date of signing the contract, 2. Stage II - option right 5 months from the date of completion of Stage I of the basic contract**

**SUB-CONTRACTING**

**1. The Contractor may entrust the execution of part of the contract to a subcontractor (subcontractors). 2. The Contracting Authority requires that in the event of entrusting part of the contract to subcontractors, the Contractor indicates in the offer which parts of the contract it intends to entrust to subcontractors and provides (if known at this stage) the names (company) of those subcontractors. 3. The Contracting Authority allows the possibility of executing the subject of the contract by the Contractor with the use of Subcontractors, which it is obliged to indicate in section D in part II of its own European Single Procurement Document form (JEDZ) - (applies to Part I and II of the contract).**

**VIII. CONDITIONS OF PARTICIPATION IN THE PROCEDURE**

**The conditions for participation in the procedure are in Section VIII of the OPiW. (Applies to Part 1 and 2 of the contract)**

**The Selection Criteria are in Section IX of the OPiW. (Applies to Part 1 and 2 of the contract)**
