Description
The Hellenic Republic Asset Development Fund (HRADF) invites potential investors to submit an Expression of Interest (EOI) for the long-term concession of the right to administer, manage, operate, develop, expand, maintain and exploit 22 Regional Airports in Greece for a period of approximately forty (40) years (the "Transaction"). The exact duration of the concession will be determined by the HRADF in the Invitation to Tender (ITT) to be issued in the second phase of the competitive procedure (the "Invitation to Tender" or "ITT"). It is envisaged that the HRADF, the Hellenic Republic ("HR") and the Preferred Investor who will be selected through the competition will enter into a concession agreement (the "Concession Agreement"). For the purposes of entering into the Concession Agreement, the Preferred Investor will establish a special purpose entity (the "SPE" or the "Concessionaire") in the form of a public limited company in accordance with the laws of Greece with its seat in Greece. The duration of the concession may be extended under the terms to be determined in the Concession Agreement to be entered into and subject to the provisions of the applicable legislation. The main objective that the HRADF aims to achieve through the Transaction is the maximisation of the revenues that will be paid to the HRADF by the entity to which the concession will be granted. The HRADF also aims to achieve and ensure a combination of high-quality operation and maintenance services for the Airports, as well as the substantial renovation and development of the facilities, as will be further defined in the Second Phase of the competition, to the benefit of the end users and the destinations served. It is noted that part of the required works to be executed may be eligible for funding through inclusion in a relevant grant programme or other funding programmes funded by national and/or European resources or may be eligible for direct or indirect financial contribution or support from the HR, in which case the relevant details will be determined in the Second Phase. The Transaction will take the form of a cash transaction. Therefore, no alternative form of consideration (e.g. assets, shares in companies or other securities) will be accepted by the HRADF. For the avoidance of doubt, this paragraph does not limit the right of the HRADF to require the payment of additional consideration (earn-out) or any similar variable consideration.
