Detailed description of the different lots: Regarding Lot 1 on the evaluation of third-party integrity: The present purchase is part of the business ethics obligations to which RTE is subject, which must, in particular, evaluate the integrity of its stakeholders. The law of 9 December 2016 on transparency, the fight against corruption and the modernisation of economic life, known as "Sapin II", sets out the general obligations of prevention and detection of acts, in France or abroad, of corruption or influence peddling. It provides, in particular, for the implementation within the companies concerned of procedures for evaluating the situation of clients, main suppliers and intermediaries. The law of 27 March 2017 on the duty of vigilance of parent companies and ordering companies imposes the establishment and implementation of a vigilance plan including the reasonable vigilance measures to identify the risks and to prevent serious breaches of human rights and fundamental freedoms, the health and safety of persons as well as the environment. It provides, in particular, for the implementation of procedures for the regular evaluation of the situation of subsidiaries, subcontractors or suppliers with whom a established commercial relationship is maintained, which are also covered by the vigilance plan. RTE must also monitor its risks in terms of "financial compliance" (money laundering, terrorist financing...) and in terms of "international compliance" (embargos and international sanctions, export controls...). Regarding Lot 2 on the RSE part: The tool must integrate a module dedicated to RSE and human rights due diligence, fully interoperable with the existing third-party integrity evaluation system. This module must allow, for each third party and its supply chain, to identify and assess the risks of breaches of human rights (notably, forced labour, child labour, discrimination, breaches of trade union freedoms, working and accommodation conditions), to the health and safety of persons and to the environment, in line with the legal obligations of the duty of vigilance and the best practices of RSE due diligence. The module must finally allow the production of consolidated reports (mapping of RSE/human rights risks by country, by category of purchases, by level of criticality) and key indicators necessary for the follow-up of the vigilance plan and the extra-financial reporting requirements, in particular those arising from Article L.225-102-4 of the Commercial Code and Directive (EU) 2024/1760. Regarding Lot 3 on the monitoring, Sourcing and API part: It will be divided into several modules: Module 1: will cover monitoring, financial analysis reports for French and foreign companies with validation, by the administrator user, during an order for an in-depth investigation. RTE wishes to have access to a platform for consulting financial data from French and foreign companies, with the possibility of extracting these data in the form of a report (PDF, Excel or other). The companies consulted could concern the third parties under surveillance or other companies. Module 2: will cover the sourcing of French and foreign companies, as well as the receipt of the list of all French and foreign companies with shareholdings in their capital from the first euro of the EDF group and all French companies with shareholdings in their capital from the first euro of the Caisse des Dépôts et Consignations group. Module 3: will cover the API connector between the data of the companies and the RTE tools (Automated control of the client/supplier database).
