Description

The subject of the contract is the procurement of a loan in the amount of 10,614,224.00 PLN to cover the planned budget deficit of the City of Myszków in the amount of 6,994,224.00 PLN and 3,620,000.00 PLN to repay previously incurred liabilities from loans taken out. 2. The contracting authority guarantees the use of the loan granted by the Contractor in the amount of at least 2,000,000.00 PLN. 3. The contracting authority may use the loan funds to cover expenses incurred from own funds from 02.01.2026. Settlements between the contracting authority and the contractor regarding the granted loan will be made in PLN. 4. The loan interest rate will be set on an annual basis, according to the variable interest rate equal to the amount of WIBOR 1M, increased by the bank's fixed margin. 5. The WIBOR 1M rate will be calculated as the arithmetic average of the ten most recent listings (business days) preceding the monthly accounting period and will apply from the 1st to the last calendar day of the month; rounded to two decimal places. 6. In the event that the sum of WIBOR 1M and the Contractor's margin reaches a negative value, the interest rate for calculations will be 0%. 7. In the event of the cessation of the publication of the base rate WIBOR 1M, the contracting authority allows, by mutual agreement, for the WIBOR 1M rate to be changed to a rate that will replace the WIBOR 1M rate or a rate that is most similar in size and character to the WIBOR 1M rate without costs incurred by the contracting authority. The determination of the alternative rate will require an annex to the contract. 8. The first accounting period will be counted from the day of the first loan tranche payment and will end on the last day of the calendar month in which the payment was made. The contracting authority also allows the first accounting period to be counted from the day of the first loan tranche payment and to end on the penultimate day of the calendar month in which the payment was made. The last accounting period will end on the day preceding the full repayment of the loan. 9. The contracting authority's obligations regarding the repayment of interest will be calculated in monthly periods up to the last or penultimate day of the month and will be payable by the last day of the month and on the final repayment day. 10. If the interest payment date falls on a non-working day or a Saturday, the interest will be payable on the first business day. 11. A full description of the subject of the contract, including the loan repayment schedule (capital) and quality requirements for the performance of the service relating to its main elements, has been placed in Annex No. 8 to the SWZ - Draft Contract Terms for the Public Contract, which will be incorporated into the Public Contract. 12. Type of contract: service. 13. CPV codes: Main CPV code: - 66113000-5: credit services. 14. The contracting authority does not reserve the right to personal performance by the contractor of key tasks, in the manner specified in Article 121 of the Pzp. 15. The contractor may entrust the performance of part of the contract to a subcontractor. The contracting authority requires the contractor to indicate in the offer, the parts (scopes) of the contract, the performance of which it intends to entrust to subcontractors, and to provide the names of any potential subcontractors, if known. To this end, the contractor should provide the relevant information in the offer form, which is Annex No. 1 to the SWZ. In the event that the contractor does not intend to perform the contract with the involvement of subcontractors, "not applicable" or a similar formulation should be entered in the appropriate place in the offer form table. 16. Entrusting the performance of part of the contract to subcontractors does not relieve the contractor of the responsibility for the proper performance of the contract. The contractor may entrust the performance of part of the contract to subcontractors, provided that they have the authorisation to conduct banking activities in the territory of the Republic of Poland. 17. The contract has not been divided into parts because the only possibility of dividing the contract into parts would involve ordering more than one credit service and management, and thus a contract involving obtaining, for example, two or more loans. This would be an economically inefficient action for the contracting authority, as a lower margin is usually possible from the highest value of the loan granted. By dividing the contract into parts, the main goal of such a division, which is to increase the accessibility of public contracts for small and medium-sized enterprises, would not be achieved. The subject of the contract includes the procurement of a long-term loan and its repayment under the Banking Law, which means that the contract is directed to contractors authorised to conduct banking activities in the territory of the RP. In this case, the contractors may only be banks, which do not compete with small and medium-sized enterprises.
