Description
The subject of the basic scope of the contract is the modernisation of passenger information systems (SIP) and selected IT systems, namely the Passenger Information System (SIP), the Internal and External Monitoring System (CCTV), the Dynamic Scheduling System (SDRJ), the Passenger Counting System, the Advertising Emission System (SER), and the fuel consumption measurement and level system in 20 diesel traction units of the series SA103, SA131, SA132, SA133, SA136, SA137 and SA138, owned by the Pomeranian Voivodeship, including the replacement of equipment and the supply of a dispatching application as well as user training. The operator carrying out the transport of the above vehicles is POLREGIO S.A. Pomorski Zakład w Gdyni. The modernisation aims to achieve a high level of functionality of the systems installed in the vehicles, enabling, among other things, an increase in vehicle safety, an increase in cybersecurity, analysis of travel flows, information provided to passengers, etc. 2. In addition to the basic scope, the contracting authority is entitled to exercise the option referred to in Article 441 of the Public Procurement Law (Pzp). The option covers the modernisation of the Passenger Information System (SIP), the Internal and External Monitoring System (CCTV), the Dynamic Scheduling System (SDRJ), the Passenger Counting System, the Advertising Emission System (SER), and the fuel consumption measurement and level system in a maximum of 6 diesel traction units of the series SA133, including the completion of full functional tests and system commissioning. The contracting authority may exercise the option in whole or in part. The contracting authority will decide on the possibility and willingness to exercise the reserved option in accordance with its financial capabilities. It is reserved that the option does not constitute a contractual (including financial) obligation of the contracting authority arising at the time of conclusion of the contract for the subject of the contract, and the envisaged optional scope of the contract is not guaranteed to be implemented. The optional scope indicated above constitutes the maximum scope of the reserved option. The contractor is obliged to implement the reserved option to the extent and in the manner in which the contracting authority exercises it in accordance with the content of the contracting authority's declaration of exercise of the option and the conditions specified in the contract – at the time of submission of such a declaration, the contracting authority incurs a financial obligation in the amount resulting from the scope of work covered by the option implemented on the basis of the given declaration. The contractor has no claim against the contracting authority in the event that the contracting authority does not exercise the option. 3. The contracting authority reserves that the unit prices covered by the option will be identical to the prices offered in the basic contract and unchanged throughout the contract period, subject to wage indexation. 4. The rules for the implementation of the subject of the contract covered by the option, concerning: the manner of its implementation, its acceptance, the required standards and technical conditions, the method of payment, the method of securing, the method of charging contractual penalties, the performance of rights and obligations arising from the warranty and the cooperation of the Parties will be the same as those applicable to the basic subject of the contract. 5. The contracting authority will notify the contractor of the exercise of the option depending on its needs, no later than 30 days from the date of conclusion of the contract. The contracting authority may exercise the option once. 6. The deadline for the execution of the contract, referred to in paragraph 2, is the same as the deadline for the execution of the basic scope of the contract. 7. A detailed description of the subject of the contract is specified in the Description of the Subject of the Contract, Annex 1 to the SWZ and in the annexes to the OPZ and in the draft contract, Annex 2 to the SWZ. 8. The contracting authority does not reserve the possibility of tendering exclusively by contractors, as referred to in Article 94 of the Pzp. 9. Subcontracting: 1) The contractor may entrust the execution of part of the contract to a subcontractor (subcontractors). 2) In connection with the implementation of the contract, the contracting authority does not reserve the obligation of personal execution of key tasks of the contract. 3) The contracting authority requires that, in the event of entrusting part of the contract to subcontractors, the contractor indicates in the offer the parts of the contract, the execution of which it intends to entrust to subcontractors and provides (if already known) the names of these subcontractors. 4) Entrusting part of the contract to subcontractors for implementation does not release the contractor from responsibility for the proper execution of the contract. 10. The contracting authority does not allow the possibility of submitting a variant offer, as referred to in Article 92 of the Pzp, i.e. an offer providing for a different method of executing the contract than specified in this SWZ. 11. The contracting authority does not envisage the conclusion of a framework agreement and the establishment of a dynamic purchasing system and does not envisage the selection of the most advantageous offer with the use of an electronic auction. 12. The contracting authority does not envisage the awarding of contracts based on Article 214(1)(8) of the Pzp. 13. The contracting authority does not allow the submission of offers in the form of electronic catalogues or the attachment of electronic catalogues to the offer, in situations specified in Article 93 of the Pzp. 14. The contracting authority does not envisage settlement in foreign currencies. The settlement of the contract is made in PLN. 15. The contracting authority does not envisage the reimbursement of participation costs. 16. The contracting authority does not envisage the granting of an advance for the implementation of the contract. 17. The contracting authority requires that the subject of the contract be executed in accordance with the requirements set out in the SWZ, including in the description of the subject of the contract (Annex 1 to the SWZ) and in accordance with the draft contract (Annex 2 to the SWZ).
