Description

Subject of the contract

The subject of the contract is the purchase of green electricity generated from renewable energy sources in accordance with the provisions of the Act of 20 February 2015 on Renewable Energy Sources (i.e. Journal of Laws of 2026, item 68) in the Corporate Power Purchase Agreement (cPPA) model. The maximum volume has been indicated in Annex No. 2 to OPiW – Description of the Buyer's Needs and in Annex No. 5 to OPiW – Offer Form. The electricity consumption profile, along with additional information necessary for calculating the offer, has been included in Annex No. 2 to OPiW – Description of the Buyer's Needs. The delivery of electricity will take place under the conditions specified in the Energy Law (i.e. Journal of Laws of 2026, item 43), in accordance with the applicable executive regulations to the aforementioned Act and the provisions of the Civil Code of 23 April 1964 (i.e. Journal of Laws of 2025, item 1071 with later amendments), the rules set out in the concessions, the provisions of the Agreement, the template of which will constitute an annex to the SWZ, which will be provided to the Contractors after the negotiations, together with the Invitation to submit the final offer, as well as on the basis of the regulations of the Pzp. Details regarding the subject of the contract are included in Annex No. 2 to OPiW – Description of the Buyer's Needs.

Contract execution period

1. The period of validity of the contract should be more than 4 years. Market research shows that a period of 6–8 years is particularly market-justified and economically efficient, with the Buyer allowing the final period of validity of the contract to be determined during negotiations, with the proviso that it will be in accordance with art. 434 para. 2 Pzp. 2. The final contract execution period will be indicated in the SWZ, which will be provided to the Contractors together with the Invitation to submit the final offer. NOTE: For the preliminary offer assessment, the contract execution period of 8 years should be assumed. 3. Cases of changing the contract execution period will be the subject of negotiations conducted with the Contractors and will be finally determined in the Agreement Template, which will be an annex to the SWZ, which will be provided to the Contractors after the negotiations, together with the Invitation to submit the final offer.

VIII. Grounds for exclusion of contractors from the procedure

1. Mandatory grounds for exclusion - as referred to in art. 108 para. 1 of the Pzp 2. Optional grounds for exclusion - as referred to in art. 109 para. 1 of the Pzp The grounds for exclusion have been specified in Section VIII of the OPiW.

VII. Description of the conditions for participation in the procedure

1. Conditions for participation in the procedure: 1.1. Contractors who meet the conditions for participation in the procedure regarding: a) the ability to operate in the economic turnover: the Buyer has not specified a condition in this respect; b) the authorisation to conduct a specified economic or professional activity, if this results from separate provisions: the Buyer has not specified a condition in this respect; c) the economic or financial situation: the Buyer has not specified a condition in this respect; d) technical or professional capacity: the Buyer has not specified a condition in this respect.

V. Requirements regarding securities (concerns the final offer)

The Buyer informs that no securities are required in this procedure.

III. Additional information

1. The Buyer does not envisage concluding a framework agreement in the subject matter procedure. 2. The Buyer does not allow the possibility of submitting partial offers. 3. The Buyer does not allow the possibility of submitting variant offers. 4. The Buyer does not require the submission of an offer in the form of an electronic catalogue and does not require or allow the attachment of an electronic catalogue to the submitted offer. 5. The Buyer does not envisage the possibility of awarding orders, as referred to in art. 214 para. 1 point 7 and 8 of the Pzp. 6. The Buyer has specified the estimated, maximum and minimum size of the subject of the contract in the OPiW and the annexes to the OPiW. 7. The Buyer does not envisage an electronic auction. 8. The Buyer does not envisage the return of the costs of participation in the subject matter procedure to the Contractors. 9. The Buyer does not limit the number of Contractors invited to submit preliminary offers. 10.
