1. **Subject of the Procurement**
The subject of the procurement is the preparation of preliminary design documentation for the construction of the metro in Kraków. The procurement is implemented as part of the investment task no. SI/T1.132/26 entitled: "Metro Construction".
2. **Subject of the Procurement Divided into the Following Stages:**
1) Basic Procurement:
a) Stage Ia – preparation of a feasibility study with an indication of the recommended variant,
b) Stage Ib – preparation of a technical concept,
2) Procurement Subject to the Right of Option:
a) Stage II (option I) – preparation of a detailed technical concept,
b) Stage III (option II) – preparation of an information card for the undertaking,
c) Stage IV (option III) – preparation of an annual natural inventory with a report on the impact of the undertaking on the environment and obtaining a decision on environmental conditions,
d) Stage V (option IV) – preparation of a functional-user program,
e) Stage VI (option V) – determination of influence zones, assessment of building condition, analysis of dynamic impacts,
f) Stage VII (option VI) – carrying out detailed geological surveys,
g) Stage VIII (option VII) – answering tenderers' questions in the procedure for awarding a public contract for the preparation of design documentation or the implementation of construction works.
3. **The Contracting Authority may exercise the right of option under the conditions specified in § 1, item 14 of the Draft Contract Terms (hereinafter referred to as DCT), which is Annex 1 to the SWZ.**
4. **The Contractor is obligated to perform the subject of the procurement in accordance with the Subject of the Procurement (SOP) and its annexes, which are Annex 1 to the SWZ. The scope of the subject of the procurement and the obligations of the Contractor have been defined not only in the DCT, but also in the SOP and Information Exchange Requirements (EIR), which are an integral part of the DCT and should be interpreted jointly. NOTICE: In each place where a Polish Standard PN is indicated or referred to, the Contracting Authority allows equivalent standards, in accordance with art. 101, item 4 of the Pzp Act.**
5. **In accordance with § 10 of the DCT, the Contractor provides the Contracting Authority with a quality guarantee and warranty on the Documentation constituting the Subject of the Contract in the scope of Stage Ia – VIII for a period of 60 months. The quality guarantee and warranty period runs separately for each of the Stages from the date of acceptance of the Stage.**
6. **PROCUREMENT PERFORMANCE TERM**
I. The Contractor is obligated to perform the subject of the procurement within the following terms:
1) Basic Procurement – within 18 months from the date of conclusion of the contract, i.e.:
a) The Contractor is obligated to submit to the Contracting Authority a schedule of the subject matter and finance within 10 days from the date of signing the contract. This schedule should include the amount of remuneration, as referred to in § 8, item 1, point 1 of the DCT. The schedule will be presented to the Contracting Authority for acceptance. The Contracting Authority reserves the right to raise objections to the above schedule within 7 days from its submission by the Contractor. The Contractor is obligated to take into account the objections of the Contracting Authority and to submit a corrected schedule of the subject matter and finance within 5 days from the date of receipt of the objections from the Contracting Authority. In the event that the Contracting Authority exercises the right of option, the Contractor is obligated to update the schedule of the subject matter and finance within 10 days from the date of delivery to the Contractor of the Contracting Authority's statement of exercising the right of option
b) Stage Ia - preparation of a feasibility study, within 12 months from the date of conclusion of the contract,
c) Stage Ib – preparation of a technical concept, within 18 months from the date of conclusion of the contract.
2) Procurement within the scope of the option – the implementation term is up to 62 months from the date of conclusion of the contract, i.e.:
a) Stage II (option I) – up to 12 months from the date of notification to the Contractor of the exercise of the right of option,
b) Stage III (option II) – up to 4 months from the date of notification to the Contractor of the exercise of the right of option,
c) Stage IV (option III) – up to 22 months from the date of notification to the Contractor of the exercise of the right of option,
d) Stage V (option IV) – up to 26 months from the date of notification to the Contractor of the exercise of the right of option,
e) Stage VI (option V) – up to 14 months from the date of notification to the Contractor of the exercise of the right of option,
f) Stage VII (option VI) – up to 24 months from the date of notification to the Contractor of the exercise of the right of option,
g) Stage VIII (option VII) – up to 12 months from the date of notification to the Contractor of the exercise of the right of option.
II. The maximum term for the completion of the implementation of Stages from Ia to VIII is 62 months from the date of conclusion of the contract. The Contracting Authority may exercise the right of option within 6 to 36 months from the date of conclusion of the contract in the scope of Stages II – VII, and in relation to Stage VIII within 50 months.
III. Detailed information on the terms of performance of the procurement has been specified in § 6 of the DCT, which is Annex 1 to the SWZ.
7. **The Contractor is obligated to submit a bid bond in the amount of: 400 000,00 zł (in words: four hundred thousand złotys 00/100) and maintain it continuously until the date of expiry of the bid validity period, with the exception of cases referred to in art. 98, item 1, points
