Italy – General management consultancy services – Servizi di consulenza strategica in favore di RAI S.p.A.

The service is structured in the following main areas, in relation to which the award winner will be called upon to carry out the activities described in the Technical Specifications to meet the various needs: a) consultancy services for the development of industrial plans, including the related strategic and economic-financial analyses; b) strategic consultancy services for individual corporate projects, including industrial development initiatives, organizational rationalization, technological development, evaluation of industrial synergies and corporate or Group restructuring operations; c) program/project management services to support the implementation of industrial plans and strategic projects, including monitoring activities, organizational change management, performance measurement, managerial reporting and support in achieving project objectives. The activities may involve the preparation of studies, analyses, business plans, economic-financial projections, programmatic documents, work plans, managerial reports, monitoring dashboards and any other documentation functional to achieving the objectives defined by RAI. The award winner must support RAI in relation to the needs expressed from time to time within the scope of the services subject to the Framework Agreement, guaranteeing for the entire contractual duration the availability of suitable professionals to oversee the entire range of activities envisaged in the tender documentation as well as the organizational capacity necessary to ensure, if requested, the simultaneous execution of multiple project interventions. The project and economic regulation of the services is based on the weeks/Full Time Equivalent (FTE) model. The consideration for each intervention will be determined based on the estimated project effort and the required team composition, defined by the mix of professional figures envisaged in the Technical Specifications and calibrated according to the complexity, duration, objectives and outputs of the assignment. The activities will be activated through specific implementation contracts, within which the dimensioning of the intervention, the reference team and the related execution modalities will be identified. The resources employed in the execution of the services will remain at all times under the exclusive dependence of the award winner and will operate under its direction, coordination and organizational responsibility. The award winner will exclusively retain all managerial, hierarchical, organizational, disciplinary and administrative powers over the resources employed. RAI will exclusively define the need, the objectives of the intervention, the expected outputs, the related timelines, the modalities of interaction with its own structures, the possible locations for the performance of the activities and the criteria for verifying the services rendered. The operational organization of the activities, the identification of the resources to be employed and the management of the project team will remain the exclusive competence of the award winner, provided that the professional requirements envisaged in the tender documentation and any offers made during the tender process are respected. For a detailed description of the technical and functional characteristics of the service as well as the modalities of its execution, reference is made to the technical tender documentation. Pursuant to Article 120, paragraph 1, letter a) of the Code, Rai S.p.A. reserves the right: - to extend the duration of the relevant contract, if the contractual amount is not exhausted at the expiry of the contractual duration, for the time necessary to use the entire contractual amount; - to request the contractor, during the duration of the contract, in the event of unforeseen needs that determine an increase or decrease in the need for services, an increase or decrease in the services, on the same conditions, for an amount up to 360,000.00, also pursuant to Article 120, paragraph 9 of the Code; in such a case, the contractor cannot claim the right to terminate the contract. In exceptional cases, if the conditions indicated in Article 120, paragraph 11 of the Code occur, the duration of the contract (if extended pursuant to Article 120, paragraph 1, letter a) of the Code as above provided), still in progress, may be extended for the strictly necessary time to conclude the procedure for identifying the new contractor. In such a case, the contractor will be obliged to perform the services subject to the contract at the same prices, terms and conditions provided for therein.
